HawkScale Imaging LLC — 929 S Aspen Pl, Provo - 84606-6443, United States (US)
These Terms of Service govern your access to the website of HawkScale Imaging LLC and your use of the services we provide. By visiting the site, submitting an enquiry, or engaging us for work, you agree to be bound by these Terms. If you do not agree, please do not use the site or our services.
These Terms work together with any written proposal, statement of work, or master agreement that you and HawkScale Imaging LLC sign. Where a signed agreement conflicts with these Terms, the signed agreement controls for that engagement. These Terms otherwise form a binding agreement between you and the company.
We have written these Terms in plain English so that the obligations of both sides are clear. Please read them fully before you place an order or authorize work to begin.
HawkScale Imaging LLC is a computer systems design firm specializing in imaging systems integration, camera rig calibration and install, imagery processing pipelines, archive digitization and indexing, site survey and coverage mapping, and maintenance and operator training. Our address is 929 S Aspen Pl, Provo - 84606-6443, United States (US).
You can contact us at imaging@hawkscaleimaging.lol or by telephone at +19568488577. In these Terms, the words we, us, and our refer to HawkScale Imaging LLC, and the words you and your refer to the person or organization using the site or engaging our services.
You must be at least eighteen years old and legally capable of entering into a binding contract to engage our services. By doing so, you represent that the information you provide is accurate and that you are authorized to act on behalf of any organization you name.
If you use the site on behalf of an employer or another entity, you confirm that you have authority to bind that entity to these Terms. If your authority ends, you must notify us promptly.
We may decline to provide services to any person or organization at our discretion, including where a request is unlawful, unsafe, or inconsistent with our professional standards.
Where a request involves export controlled technology, regulated airspace, restricted property, or material that is subject to another party rights, you are responsible for ensuring that all necessary authorizations are in place before work begins. We may ask for evidence of such authorizations and may pause work until it is provided.
Our services center on the integration and care of imaging systems. This includes aerial imaging system integration, camera rig calibration and install, imagery processing pipelines, archive digitization and indexing, site survey and coverage mapping, and maintenance and operator training.
The specific scope of any engagement is defined in a written proposal or statement of work. That document sets out the deliverables, the schedule, the assumptions, the responsibilities of each party, and the fees. Services not expressly described in the written scope are out of scope and may be quoted separately.
We may use subcontractors or specialist providers where it improves delivery. We remain responsible for the work performed under an engagement, and we require our providers to meet the same standards of confidentiality and care that we apply to our own staff.
Imaging work often combines hardware, software and field operations. A single program may touch calibration benches, processing infrastructure, archive rooms and outdoor sites. For that reason, the written scope will usually separate bench work from field work and will note the conditions under which each stage is performed.
Advice that we give before a written scope is signed is offered in good faith for planning purposes. It does not become a binding commitment until it is written into an accepted proposal or statement of work.
Quotations and proposals are valid for the period stated in the document and, if no period is stated, for thirty days from the date of issue. Prices may depend on assumptions about site conditions, hardware availability, access, and schedules.
If an assumption proves incorrect, or if you request a change to the scope, we will discuss the impact and may issue a revised quotation or change order. Work on the changed scope begins only after both parties accept the revision in writing.
Nothing on this website constitutes a binding offer. A contract forms only when both parties accept a written proposal or statement of work.
You agree to provide accurate and timely information about your systems, sites, goals and constraints. Delays or inaccuracies in this information can affect calibration, coverage and schedule, and may require revised pricing.
You agree to obtain all permissions, permits and consents needed for capture, access and use of any site or location, including permissions relating to privacy and property. You also agree to provide safe access to sites, power, network and working space where the engagement requires it.
You agree to keep your own backups of any material you send to us, unless a written agreement says otherwise. You further agree to use our deliverables only for lawful purposes and in accordance with any documentation we provide.
You agree to nominate a point of contact who can make decisions about scope, schedule and acceptance. A clear contact person keeps a program moving and reduces the risk that decisions are delayed or made twice.
You agree to inform us of any hazard, restriction or sensitivity that applies to a site, a payload or a dataset before work begins, and to update us if conditions change during the engagement.
Fees are set out in the applicable proposal or statement of work. Unless stated otherwise, invoices are due within thirty days of the invoice date. Payment may be required in advance for hardware, travel and third party purchases.
Amounts that remain unpaid past the due date may incur interest at the rate stated in the agreement, or, if none is stated, at the maximum rate permitted by applicable law. You are responsible for taxes that apply to the services, except for taxes on our own income.
If an invoice is disputed, please contact us within the period stated in the agreement so that we can review it. Undisputed portions of an invoice remain payable on time.
We may suspend work if payment obligations are not met, after giving reasonable notice.
Expenses such as travel, shipping, specialist calibration targets, and third party license fees are passed through at cost unless the proposal states a fixed inclusive price. We will seek your approval before committing to any unusual or significant expense.
Where a program is delivered in stages, we may invoice at defined milestones. Milestone billing keeps the financial position of both parties aligned with the technical progress of the work.
Project schedules are estimates unless a written agreement states that a date is fixed. We will coordinate with you on a workable calendar and will notify you of any material change as soon as we become aware of it.
You agree to provide access to sites, equipment and personnel when scheduled. If access is delayed or withdrawn, we may need to reschedule and to charge for time and costs already committed to the visit.
Where work involves field conditions, weather and other factors beyond our control can affect timing. We will work around such conditions where practical and will keep you informed of the effect on the plan.
Deliverables are described in the written scope. Unless stated otherwise, you have a defined review period after delivery to inspect the deliverables and to report any material non-conformance with the agreed specification.
If you do not report a material non-conformance within the review period, the deliverables are deemed accepted. If you do report one, we will evaluate it and, where it is confirmed, correct it at no additional charge within the agreed scope.
Requirements that were not part of the agreed specification are treated as new work, and we will quote them separately. Acceptance of deliverables does not limit any warranty that is expressly stated in the agreement.
Where acceptance depends on field results, the review period begins when the field work is complete and the raw data has been provided to you, unless the agreement states a different trigger.
We record the acceptance outcome in writing. That record protects both parties by confirming that the delivered system matched the agreed specification at the point of handover.
We retain ownership of our pre-existing tools, methods, software, documentation templates, calibration techniques and other materials that we bring to an engagement. You retain ownership of your own data, imagery, archives and materials.
Where a deliverable is custom built for you, ownership is set out in the written agreement. Unless the agreement says otherwise, you receive a license to use the deliverables for your internal business purposes, and we retain ownership of the underlying methods and generic components.
You grant us a limited license to use your materials only as needed to perform the services and to support the delivered system. You confirm that you have the rights needed to grant that license.
Unless you agree in writing, we will not publicly display your imagery or identify you as a client in promotional material.
Each party may receive confidential information from the other. Confidential information includes technical data, imagery, archives, business plans, pricing, and any material marked as confidential or that would reasonably be understood to be confidential.
Each party agrees to protect the confidential information of the other with reasonable care, to use it only for the purpose of the engagement, and to disclose it only to those who need it and are bound by confidentiality obligations.
Confidentiality obligations do not apply to information that is public through no breach, that was already lawfully known, that is independently developed, or that must be disclosed by law. Where disclosure is required by law, the disclosing party will give reasonable notice to the other party where permitted.
These confidentiality obligations survive the end of the engagement for the period stated in the agreement, or, if none is stated, for three years.
You agree to use the website lawfully and not to attempt to gain unauthorized access to it, to interfere with its operation, or to introduce malicious code. You agree not to scrape the site in a manner that burdens our infrastructure or violates applicable law.
You may not copy, republish, or redistribute site content except as permitted for ordinary browsing or with our written consent. The content is provided for information about our services and is not a substitute for a written engagement.
We may block access to the site where we reasonably believe it is being used in a manner that is unlawful, abusive, or harmful to us or to other users.
We will perform our services with reasonable skill and care and in a professional manner consistent with industry practice. This is the core of what we promise. Any additional warranty must be stated expressly in the written agreement.
Except for the promises expressly stated, the website and services are provided on an as available basis, and we disclaim all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
We do not warrant that the website will be uninterrupted or error free, nor that any particular result of an imaging program will meet requirements that were not part of the agreed specification.
To the fullest extent permitted by law, HawkScale Imaging LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business opportunity, arising out of or relating to the services or the website.
Our total aggregate liability for any engagement will not exceed the amount of fees actually paid by you to us for the services giving rise to the claim, during the twelve months preceding the event on which the claim is based.
These limitations do not apply to liability that cannot be limited by law, including liability for fraud, willful misconduct, or any other liability that applicable law does not permit us to exclude.
Each provision of this section operates separately. If one provision is found unenforceable, the remaining provisions continue to apply.
You agree to indemnify and hold harmless HawkScale Imaging LLC, its officers, employees and agents from claims, damages, losses and expenses, including reasonable legal fees, that arise from your breach of these Terms, your violation of law, or your infringement of the rights of another party.
This obligation includes claims relating to site access, permissions and privacy consents that are your responsibility under the written scope. It also includes claims arising from the content of materials you provide to us.
We will provide prompt notice of any claim for which we seek indemnity and will cooperate reasonably in the defense, at your expense. You may not settle a claim in a way that imposes obligations on us without our written consent.
Either party may terminate an engagement as provided in the written agreement, or for material breach that is not cured within a reasonable period after written notice. We may suspend services immediately where continued work would be unlawful or unsafe.
On termination, you agree to pay for work performed and for commitments made up to the effective date of termination. We will return or, at your direction, securely destroy confidential materials belonging to you, subject to any retention required by law.
Provisions that by their nature should survive termination, including confidentiality, intellectual property, limitation of liability, and indemnification, will continue in force.
These Terms are governed by the laws of the State of Utah and the applicable laws of the United States, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Utah for disputes that cannot be resolved informally.
Before beginning formal proceedings, the parties agree to attempt to resolve any dispute through good faith discussion, and to give each other a reasonable opportunity to address the matter directly.
If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
We may revise these Terms from time to time. When we do, we will update the version shown on this page and, where the change is material, we will provide additional notice on the website or by email.
Changes apply to future use of the site and to engagements that begin after the change takes effect, unless a written agreement states otherwise. Your continued use of the site after an update indicates your acceptance of the revised Terms.
We encourage you to review this page periodically so that you always know the terms that apply to your relationship with us.
